THIS DOCUMENT CONTAINS IMPORTANT INFORMATION REGARDING YOUR RIGHTS AND OBLIGATIONS, AS WELL AS CONDITIONS, LIMITATIONS, AND EXCLUSIONS THAT MIGHT APPLY TO YOU. PLEASE READ IT CAREFULLY.

BY CREATING AN ACCOUNT ON THIS WEBSITE AND/OR BY APPLYING FOR TO PURCHASE A DIGITAL PARKING PERMIT THROUGH THIS WEBSITE, YOU AFFIRM THAT YOU ARE OF LEGAL AGE TO ENTER INTO THIS AGREEMENT, AND YOU ACCEPT AND ARE BOUND BY THESE TERMS AND CONDITIONS. YOU AFFIRM THAT IF YOU PLACE AN ORDER ON BEHALF OF AN ORGANIZATION OR COMPANY, YOU HAVE THE LEGAL AUTHORITY TO BIND ANY SUCH ORGANIZATION OR COMPANY TO THESE TERMS AND CONDITIONS.

YOU MAY NOT CREATE AN ACCOUNT ON THIS WEBSITE AND/OR PURCHASE A DIGITAL PARKING PERMIT THROUGH THIS WEBSITE IF YOU (A) DO NOT AGREE TO THESE TERMS, (B) ARE NOT THE OLDER OF (i) AT LEAST 18 YEARS OF AGE OR (ii) LEGAL AGE TO FORM A BINDING CONTRACT, (C) ARE PROHIBITED FROM ACCESSING OR USING THIS WEBSITE OR ANY OF THIS WEBSITE'S CONTENTS BY APPLICABLE LAW, OR (D) ARE OTHERWISE INELIGIBLE TO PURCHASE A PARKING PERMIT.

A1. Additional Terms. These additional terms (“Additional Terms”) are entered into by and between you and IPT LLC d/b/a Paylock (“Company”, “we” or “us”). By using Digitalpermits.com you accept and agree to be bound and abide by these Additional Terms, our Terms of Use, and our Privacy Policy, which are incorporated herein by reference. If you do not want to agree to these Additional Terms, the Terms of Use or the Privacy Policy, you must not access or use https://www.digitalpermits.com/.

A2. No Affiliation with Parking Permit Issuing Entities. Digitalpermits.com (wholly owned by IPT LLC d/b/a Paylock), is separate from the municipality, city or university issuing your Digital Parking Permit (“Parking Permit Issuer”). Digitalpermits.com is not affiliated with the Permit Issuing Entity other than to provide the Digitalpermits.com service as a means to purchase or renew parking permits online.

A3. Digital Parking Permits. The Digitalpermits.com system enables registered users to purchase Digital Parking Permits from Parking Permit Issuers such as universities, municipalities or other local parking authorities. A Digital Parking Permit is the record of your use of the Digitalpermits.com system to purchase a parking permit from a Parking Permit Issuer.

A4. Rules and Regulations Established by Parking Permit Issuers. Digitalpermits.com does not establish or control the rules, regulations and terms relating to parking or parking permits. All rules, regulations and terms relating to parking and to the purchase and use of parking permits (including price, the number of permits issued, the number and location of available spaces, permit eligibility criteria, and other regulations) are established and controlled by the Permit Issuer.

A5. Knowledge of, and Compliance with Rules and Regulations Established by Parking Permit Issuers. You are responsible for knowing and complying with the Parking Permit Issuer’s rules, regulations and terms related to parking and the purchase and use of parking permits. Before purchasing a Digital Parking Permit, and before parking your vehicle, you should become familiar with such rules, regulations and terms.

A6. Helpline; Limitations of Assistance. You may call the Help Line on our permit website for assistance with general permit-related questions; however, Digitalpermits.com does not warrant the completeness, currency or accuracy of any information provided via the Help Line and is not responsible for any errors therein. Parking Permit Issuers change their rules, regulations and terms from time to time without notifying Digitalpermits.com. In all instances, therefore, to obtain accurate and up-to-date information concerning parking-related rules, regulations and terms you must obtain such information directly from the Parking Permit Issuer.

A7. Responsibility for Parking Tickets and/or Violations. You are solely responsible for parking tickets and/or violations of parking rules and regulations.

A8. Disputes Regarding Parking Tickets and/or Violations. Digitalpermits.com does not enforce parking rules and does not issue parking tickets or other notices of violation. All parking tickets and/or violations are issued by the Parking Permit Issuer. Digitalpermits.com does not adjudicate or resolve disputes concerning parking tickets and/or violations. In the event of a dispute concerning a parking ticket or other notice of violation, your sole remedy is to resolve the dispute with the Parking Permit Issuer, or as otherwise stated in the summons or other notice of violation. You agree that you will not to pursue any legal action against IPT LLC d/b/a Paylock and/or Digitalpermits.com in connection with any parking ticket or other notice of violation.

A9. Accuracy of Information You Provide; Updating Your Information. You agree that any information you provide to Digitalpermits.com, including any information necessary to open and maintain your account with Digital permits.com is accurate and complete. You further agree to promptly update any such information if and when it changes.

A10. Application for Digital Parking Permit.

After you create an account, you may begin applying for Digital Parking Permits. As part of each such application, you must provide the details concerning the credit card or other payment method (“Your Payment Account”) that will be used to pay for the Digital Parking Permit. (A list of the payment methods we accept is available on our website.)

Each application you submit is a binding, non-refundable commitment to purchase the requested Digital Parking Permit. However, Digital Parking Permits are not issued unless and until the following things occur: (a) your application is approved by Digitalpermits.com and the Permit Issuing Entity; and (b) Digitalpermits.com charges Your Payment Account and receives the full cost of the Digital Parking Permit.

If your application for a Digital Parking Permit is approved immediately then Digitalpermits.com will charge Your Payment Account at that time. However, the process of verifying eligibility may take several days or longer, depending on the circumstances. If your application for a Digital Parking Permit is not approved immediately, Digitalpermits.com will place a temporary hold or temporary authorization on Your Payment Account. If/when your application is approved, the temporary hold or temporary authorization will be converted into a charge against Your Payment Account. If/when your application for a Digital Parking Permit is denied, the temporary hold or temporary authorization will be released.

DO NOT PARK UNTIL YOU RECEIVE EMAIL CONFIRMATION FROM PAYLOCK THAT YOUR APPLICATION FOR A PARKING PERMIT HAS BEEN APPROVED.

A11. Prices and Payment Terms.

(a) Prices are determined by Parking Permit Issuers and are subject to change without notice. Posted prices do not include service fees and taxes. All such service fees and taxes, if applicable, will be added to your total, and will be itemized in your shopping cart, and in your order confirmation email. We strive to display accurate price information, however we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

(b) Terms of payment are within our sole discretion and payment must be received by us before our acceptance of an order and issuance of a Digital Parking Permit. (A list of the payment methods we accept is available on our website.) You represent and warrant that (i) the information you supply to us regarding Your Payment Method is true, correct and complete, (ii) you are duly authorized to use Your Payment Method for the purchase, (iii) charges incurred by you will be honored by your financial institution, and (iv) you will pay charges incurred by you at the posted prices, including service fees and applicable taxes, if any.

(c) You are responsible for maintaining the security and confidentiality of your account information, including your user ID and password. You are responsible for all transactions made using your account. If you permit another person or persons to access or use your account, you are responsible for any transactions initiated by such person(s).

A12. Automatic Renewal Option. Certain Parking Permit Issuers may offer the option for automatic renewal of Digital Parking Permits. If the issuer of your Digital Parking Permit offers automatic renewal, and you choose to register for automatic renewal, then we will obtain the funds by charging one of Your Payment Method(s) on the renewal date (or such date specified by the Parking Permit Issuer). If the charge is declined, if Your Payment Method is invalid or expired, or if the funds are not received by us, then the Digital Parking Permit will not be renewed. You are responsible for providing updated information concerning Your Payment Method(s), including but not limited to updating your credit card information in the event the card is expired, replaced, or there are other changes to your account(s). Notwithstanding your selection of the automatic renewal option, you are responsible for ensuring that the required permit has been issued and paid for, before parking your vehicle.

A13. Refunds. If you believe you are entitled to a refund, you may click the Contact link on our permit website, and either (1) call the Live Assistance number, or (2) send us your Questions by submitting your name and email address online. Alternatively, you may direct your request directly to the applicable Parking Permit Issuer, in person by visiting their office, or, by calling their telephone number displayed on their/our website. Digitalpermits.com will issue a refund only after the validity of the request has been verified, or when it is specifically directed to do so by the applicable Parking Permit Issuer.

A14. Limitation of Liability. As stated in sections A5 through A8, above, (a) you are at all times responsible for knowing and complying with all applicable parking-related rules and regulations, (b) you are responsible for all parking tickets and/or violations; (c) your sole remedy in the event of any such parking tickets and/or violations is to resolve the dispute with the Parking Permit Issuer, or as otherwise stated in the summons or other notice of violation; and (d) you agree that you will not pursue any legal action against IPT LLC d/b/a Paylock and/or Digitalpermits.com in connection with any parking ticket or other notice of violation.

IN NO EVENT SHALL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR ENHANCED DAMAGES, LOST PROFITS OR REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF, OR RELATING TO, AND/OR IN CONNECTION WITH ANY BREACH OF THESE TERMS, REGARDLESS OF (A) WHETHER SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT OR OTHERWISE) UPON WHICH THE CLAIM IS BASED.

IN ALL EVENTS, OUR ENTIRE MAXIMUM LIABILITY FOR ANY REASON, SHALL BE LIMITED TO THE ACTUAL AMOUNT PAID BY YOU FOR DIGITAL PARKING PERMITS PURCHASED THROUGH OUR SITE.

The limitation of liability set forth above shall not apply to (A) liability resulting from our gross negligence or willful misconduct and (B) death or bodily injury resulting from our acts or omissions.

A15. Severability. If any provision of these Additional Terms, our Terms of Use or our Privacy Policy is invalid, illegal, void or unenforceable, then that provision will be deemed severed from the remaining terms and will not affect the validity or enforceability of the remaining provisions of the remaining terms.

A16. Entire Agreement. These Additional Terms, our Terms of Use and Our Privacy Policy, together with any confirmation of your order will be deemed the final and integrated agreement between you and us.
